12 — Conversion Optimization
Conversion optimization involves testing and improving elements that may influence user behavior.
We may recommend or implement changes to:
- Headlines;
- Copy;
- Forms;
- Calls to action;
- Page layouts;
- Offers;
- User journeys;
- Creative;
- Landing pages; and
- Other conversion elements.

- Change reporting;

We are not responsible for losses caused by changes, restrictions, suspensions, outages, policy enforcement, or other actions taken independently by third-party platforms.
We will use reasonable efforts to identify and address issues within the scope of our Services.
15 — Advertising Policy Compliance
You are responsible for ensuring that your products, services, claims, promotions, offers, and business practices comply with applicable laws and platform requirements.

- Pricing;
- Discounts;
- Promotions;
- Guarantees;

- Other claims used in advertising.
We may refuse to publish or continue campaigns that we reasonably believe could violate applicable law, advertising rules, platform policies, or these Terms.
16 — Client Content and Materials
You retain responsibility for materials you provide to us.
You represent that you have the necessary rights, permissions, licenses, and authority to provide and use those materials for the intended marketing purposes.
This may include:
- Logos;
- Images;
- Videos;
- Text;
- Product information;
- Testimonials;
- Customer reviews;
- Trademarks;
- Product claims;
- Pricing information; and
- Other intellectual property.
You authorize us to use those materials solely as reasonably necessary to provide the agreed Services.

You are responsible for the accuracy and legal basis of claims concerning your business, products, services, results, customers, pricing, or offers.
Where you provide testimonials, reviews, statistics, certifications, awards, guarantees, or performance claims, you are responsible for ensuring that you have the right to use them and that they are accurate and properly supported.
We may request clarification or supporting documentation where reasonably necessary.
18 — Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before the engagement.
Client-owned materials remain the Client’s property.
Subject to full payment of applicable fees, rights in specifically commissioned final deliverables may be transferred or licensed to the Client as stated in the applicable proposal or agreement.
Unless expressly included as a transferred deliverable, our underlying:
- Templates;
- Frameworks;
- Processes;
- Methods;
- Strategies;
- Know-how;
- Internal tools;
- Systems;

- Pre-existing materials
remain our property.
Third-party materials remain subject to their respective licenses and terms.
19 — Website, Landing Page, and Creative Work
Where our Services include landing pages, creative assets, copy, or other digital materials, the agreed scope determines what is delivered.
Unless expressly stated otherwise, ongoing hosting, domain registration, software subscriptions, premium plugins, stock assets, third-party licenses, and other external costs are not included.
Additional revisions or changes outside the agreed revision allowance may be charged separately.
20 — Tracking and Analytics
Where tracking and analytics are part of the Services, we may configure or assist with:
- Conversion tracking;
- Analytics;
- Advertising pixels;
- Tags;
- Events;
- Call tracking;
- Form tracking; and
- Other measurement systems.
Tracking depends on website configuration, browser settings, consent mechanisms, platform policies, technical limitations, and third-party systems.
We cannot guarantee that tracking will capture every user interaction or conversion.
The Client remains responsible for ensuring that its website and data practices meet applicable privacy and consent requirements.
21 — Personal Data
Both parties agree to handle personal information in accordance with applicable privacy and data-protection laws.
Where we process personal data on behalf of a Client, the parties may enter into additional data-processing terms where required.
The Client is responsible for ensuring that personal information supplied to us has been collected and disclosed lawfully and that appropriate notices, permissions, consents, or other legal requirements have been satisfied where applicable.
Fuye Digital Media may process personal information as necessary to provide the Services, manage the client relationship, communicate with the Client, maintain records, and perform other lawful business purposes.
Our Privacy Policy explains how we handle personal information collected through our website.
Thailand’s PDPA provides a framework governing the collection, use, disclosure, security, and rights associated with personal data, including mechanisms for data-subject requests.
22 — Confidentiality
Each party may receive confidential information belonging to the other party.
Confidential information may include:
- Business plans;
- Pricing;
- Customer information;
- Marketing strategies;
- Account information;
- Financial information;
- Login credentials;
- Campaign data;
- Proprietary processes; and
- Other non-public business information.
Each party agrees to use confidential information only for the relevant business relationship and to take reasonable steps to prevent unauthorized disclosure.
This obligation does not apply to information that:

- Was already lawfully known;
- Is independently developed; or
- Must be disclosed by law or lawful authority.
23 — Account Access and Security
Where you provide account credentials or access permissions, you are responsible for ensuring that the access provided is authorized.
We will use reasonable measures to protect credentials and access information within our control.
You should not provide access beyond what is reasonably necessary for the Services.

- Advertising spend;
- Impressions;
- Clicks;
- Leads;
- Conversion rates;
- Cost per lead;
- Campaign performance; and
- Other agreed metrics.
Reporting is based on information available through relevant tracking systems and third-party platforms.
Third-party reporting may change, be delayed, or contain discrepancies.
Unless expressly agreed otherwise, reports are intended to support business and marketing decisions and do not constitute accounting, financial, legal, or investment advice.
25 — Fees and Payment
Fees will be stated in the applicable proposal, quotation, invoice, or service agreement.
Unless otherwise agreed:
- Fees are payable according to the stated payment schedule;
- Invoices are due by the stated due date;
- Client payments must be made using an agreed payment method; and
- Third-party costs are separate unless expressly included.
Applicable taxes, duties, bank charges, payment-processing fees, or similar charges may be payable where required.

If an invoice remains unpaid after its due date, we may, subject to applicable law:
- Request payment;
- Pause work;
- Suspend campaign management;
- Withhold future deliverables;
- Restrict access to certain Services; or
- Terminate the engagement after appropriate notice.
We are not responsible for performance delays caused by non-payment.
Any interest or late-payment charge will apply only if expressly stated in the applicable agreement or otherwise permitted by applicable law.
27 — Refunds and Cancellation
Because digital marketing Services may involve work performed, campaign setup, strategy, research, creative development, account management, and third-party commitments, fees for work already performed are generally non-refundable unless otherwise required by applicable law or expressly agreed in writing.
If you wish to cancel ongoing Services, you must provide notice according to the applicable service agreement or proposal.
Cancellation does not automatically cancel:
- Amounts already due;
- Work already completed;
- Approved third-party costs;
- Advertising spend already incurred; or
- Other non-refundable commitments expressly agreed in advance.
Any specific cancellation or refund terms contained in a signed agreement will apply to the extent permitted by law.
28 — Client Delays
Project timelines depend partly on timely Client cooperation.
We are not responsible for delays caused by:
- Late approvals;
- Missing information;
- Missing account access;
- Delayed payments;
- Delayed feedback;
- Changes in scope;
- Technical restrictions; or
- Other matters outside our reasonable control.
Where a delay materially affects a project, the delivery schedule may be adjusted accordingly.
29 — Third-Party Services
Our Services may depend on third-party products and services, including:
- Google;
- Microsoft;
- Meta;
- LinkedIn;
- TikTok;
- Analytics providers;
- CRM platforms;
- Website platforms;
- Hosting providers;
- Email platforms; and
- Other technology providers.
We are not responsible for third-party products, services, outages, policy changes, security incidents, pricing changes, or failures outside our reasonable control.
Third-party charges are generally the Client’s responsibility unless expressly included in the agreed scope.
30 — No Guarantee of Continuous Availability
We do not guarantee that our website, client dashboards, reporting systems, or other digital systems will always be available without interruption.
Maintenance, technical issues, security incidents, hosting problems, internet failures, third-party outages, and other circumstances may temporarily affect availability.
31 — Business Results
Our Services are designed to support marketing and business objectives, but we do not guarantee that they will generate a specific level of:
- Revenue;
- Profit;
- Leads;
- Sales;
- Traffic;
- Rankings;
- Conversion rates;
- Advertising returns; or
- Customer acquisition.
Your results may depend on factors including pricing, competition, sales processes, market conditions, customer demand, product quality, budget, and factors outside our control.
32 — Disclaimer of Warranties
To the maximum extent permitted by applicable law, Services are provided based on the agreed scope and information available to us.
We do not warrant that:
- A campaign will achieve a particular result;
- Advertising platforms will approve every advertisement;
- Website traffic will convert at a particular rate;
- Leads will become customers;
- Third-party platforms will remain available;
- Tracking will capture every conversion; or
- Marketing performance will remain constant.
Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.
33 — Limitation of Liability
To the maximum extent permitted by applicable law, Fuye Digital Media will not be liable for indirect, incidental, consequential, special, or business losses arising from the Services, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
Where legally permitted, our aggregate liability arising from a particular engagement will be limited to the fees actually paid to us for the Services giving rise to the claim during the applicable period specified in the relevant agreement.
This limitation does not apply to liability that cannot legally be excluded or limited under applicable law.
34 — Client Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold Fuye Digital Media and its personnel harmless from third-party claims, losses, liabilities, costs, and reasonable expenses arising from:
- Materials supplied by you;
- Unlawful or unauthorized use of personal information;
- Your products or services;
- False or misleading information supplied by you;
- Claims made about your business or products;
- Your violation of applicable law;
- Your violation of third-party rights; or
- Your breach of these Terms.
This provision does not apply to the extent the claim results from our own unlawful conduct or other circumstances where indemnification cannot lawfully be required.
35 — Suspension of Services
We may suspend Services where reasonably necessary because of:
- Non-payment;
- Security concerns;
- Unauthorized account access;
- Unlawful activity;
- Material breach of these Terms;
- Third-party platform restrictions;
- Client failure to provide required information; or
- Other circumstances that make continued performance impractical or unlawful.
Where reasonably possible, we will notify you before suspending Services.
36 — Termination
Either party may terminate an engagement according to the cancellation terms in the applicable agreement.
We may terminate or suspend an engagement where:
- The Client materially breaches these Terms;
- Invoices remain unpaid;
- Required cooperation is not provided;
- Continuing the Services would create a legal or compliance concern; or
- The relationship can no longer reasonably continue.
Upon termination, the Client remains responsible for amounts properly due for Services performed and approved costs incurred before termination.
37 — Effect of Termination
When Services end:
- Campaign management may stop;
- Advertising activity may be paused or transferred as agreed;
- Access permissions may be removed;
- Outstanding invoices remain payable;
- Third-party subscriptions remain subject to their own terms; and
- Confidentiality and other provisions intended to survive termination will continue.
Where appropriate, we will cooperate reasonably in transferring relevant account access or agreed deliverables.
Additional transition work may be chargeable if it falls outside the original scope.
38 — Force Majeure
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control.
This may include:
- Natural disasters;
- Floods;
- Fire;
- Epidemics or pandemics;
- War;
- Civil unrest;
- Government action;
- Telecommunications failures;
- Major internet outages;
- Cybersecurity incidents;
- Third-party platform outages;
- Infrastructure failures; or
- Other events beyond reasonable control.
The affected party should notify the other party when reasonably possible.
39 — Electronic Communications
We may communicate with you electronically through email, messaging platforms, project-management systems, or other agreed channels.
Electronic proposals, approvals, confirmations, invoices, and other business communications may be used in connection with the Services.
Thailand’s Electronic Transactions Act provides a legal framework recognizing electronic transactions and electronic data in applicable civil and commercial transactions.
Where appropriate, electronic approval or acceptance may constitute authorization to proceed with the relevant work.
40 — Website Content
Information published on our website is provided for general informational purposes.
We make reasonable efforts to keep website information accurate and current, but we do not guarantee that every statement will always be complete, current, or error-free.
Website content should not be treated as legal, financial, tax, accounting, or other professional advice.
41 — Third-Party Links
Our website may contain links to websites or services operated by third parties.
These links are provided for convenience.
We do not control and are not responsible for the content, availability, security, privacy practices, or terms of third-party websites.
42 — Portfolio and Marketing Use
Unless otherwise agreed in writing, we may identify the Client as a client of Fuye Digital Media and display publicly available project materials for portfolio, case-study, or promotional purposes.
We will not intentionally disclose confidential information for promotional purposes.
If a separate agreement restricts portfolio use, that agreement will take precedence.
43 — Non-Solicitation
Unless otherwise agreed in writing, neither party will intentionally solicit for direct employment personnel of the other party who are materially involved in the engagement during the engagement and for a reasonable period afterward, subject to applicable law.
This provision does not restrict general recruitment advertisements that are not specifically directed at the other party’s personnel.
44 — Independent Contractor
Fuye Digital Media acts as an independent contractor.
Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship between the parties unless expressly agreed in writing.
45 — Assignment
Neither party may transfer its rights or obligations under an agreement in a manner that materially affects the other party without appropriate notice or consent, except where permitted by law or as part of a merger, restructuring, sale of business, or similar transaction.
46 — Changes to These Terms
We may update these Terms from time to time.
The updated version will be published on this website with a revised “Last Updated” date.
Changes will not automatically modify the terms of an existing signed agreement unless the parties agree to those changes or the applicable agreement permits them.
Your continued use of the website after an updated version is published may constitute acceptance of the updated website terms to the extent permitted by law.
47 — Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permitted.
The remaining provisions will continue in effect.
48 — No Waiver
A failure or delay by either party to enforce a provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.
49 — Entire Agreement
These Terms, together with the applicable proposal, quotation, statement of work, service agreement, and other documents expressly incorporated into the engagement, constitute the agreement between the parties concerning the relevant Services.
They replace prior discussions or communications concerning the same subject matter to the extent permitted by law.
50 — Governing Law
These Terms and the relationship between Fuye Digital Media and the Client will be governed by the laws of Thailand, subject to any mandatory provisions of applicable law.
Any dispute that cannot be resolved through good-faith discussion will be submitted to a court of competent jurisdiction in Thailand, unless the parties agree to another lawful dispute-resolution method in writing.
51 — Dispute Resolution
If a dispute arises, the parties should first attempt to resolve it through good-faith communication.
The parties may discuss:
- The issue in dispute;
- Relevant project records;
- Invoices;
- Approvals;
- Deliverables;
- Applicable agreements; and
- A practical resolution.
Nothing in this section prevents either party from seeking urgent legal relief where necessary or exercising rights that cannot lawfully be waived.
